Selected illustrative matters

Anonymised examples arranged like pieces in a practice gallery — each labelled with process notes, not promises. Past approaches only; future outcomes depend on facts, forums and instructions.

Illustrative · Commercial contracts

A distributor whose master terms had drifted across twelve vendors

A Singapore distributor accumulated supply agreements with mismatched liability caps, auto-renewal traps and governing-law clauses that no longer matched its warehouse footprint. After conflict check, we catalogued the top twelve relationships, tiered them by revenue and risk, and rebuilt a master purchase template with schedules for pricing and service levels.

The gallery moment came when directors read the redline beside our memo — each change tied to a board decision they had already made but never captured in writing. Negotiation support followed in phases; we did not guarantee cost savings or dispute avoidance with every vendor.

A services firm choosing mediation before issuing proceedings

A professional services company received a termination notice from a long-term client claiming breach. Rather than filing immediately, the director wanted a measured assessment: evidence map, limitation window, and whether SIAC arbitration or State Courts suited the contract. We delivered an options memo within ten business days, then supported mediation prep.

Settlement terms were structured with instalments and mutual releases. Illustrative outcome only — other matters may proceed to trial or fail to settle regardless of counsel quality.

Illustrative · Employment counsel

An employer restructuring two roles across Singapore and Malaysia

HR needed employment counsel that respected both Singapore Employment Act requirements and the realities of a cross-border team. We reviewed contracts, drafted consultation talking points, and prepared separation packages with explicit release language. Contractor IP assignments were harmonised before the announcement.

We supported the employer side after conflict check; we did not represent affected employees in the same matter. No guarantee of zero claims or tribunal outcomes was given or implied.

Illustrative · Regional anchor

A SaaS founder anchoring ASEAN reseller terms in Singapore law

A founder expanding through resellers needed Singapore-law agreements that regional partners could sign without renegotiating every clause in each country. We drafted a master reseller framework with local-law schedules, data-processing annexes and dispute resolution defaults suited to the business model.

Coordination calls with Jakarta counsel clarified which provisions could be localised. We supported drafting and negotiation; regulatory approval in every market was never promised.
